Nvidia “will invest $3 billion in Meta’s equity offering”, it said in a release on Tuesday announcing a wider collaboration on Muse, Meta’s family of models.
The share sale
Meta priced its offerings on Monday. It is selling $25.0 billion of Class A common stock at $625.00 a share, upsized from $22.5 billion, through forward sale agreements, plus 250 million depositary shares at $50 each representing a new 6.50% mandatory convertible preferred stock. The common stock offering is expected to close on 29 October. Because of the forward sale structure, Meta expects to receive about $24.9 billion of net proceeds only when the agreements settle, on or before 19 November 2027, and says it will use them for general corporate purposes. Nvidia’s release does not say which part of the offering it is buying.
The technology side
- Muse. The companies will expand their work on training and serving the Muse models.
- Hardware. Meta intends to expand its use of Nvidia’s Vera Rubin systems and Vera CPUs, with Spectrum-X Ethernet networking and BlueField-4.
- Agent security, maybe. The companies “will also consider” collaborating on Nvidia’s OpenShell Reference Architecture, including OpenShell for safe agent deployment (our story on its gateway) and Nvidia Sentry for monitoring agent behaviour. That is a consideration, not a commitment.
Jensen Huang and Mark Zuckerberg are both quoted in the release. Neither the release nor Meta’s says how much of Meta’s spending on Nvidia hardware the $3 billion relates to.
